1. Agreement to Terms
By installing or using the Zazema loyalty app ("the App") on your Shopify store, you ("Merchant," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms are a legal agreement between you and Zazema Inc. ("Zazema," "we," "us," or "our"). If you do not agree to these Terms, do not install or use the App.
2. Description of Service
Zazema is a loyalty rewards platform for Shopify merchants. The App lets you:
- Create and manage loyalty campaigns that reward customers for purchases and other activity
- Issue, track, and redeem loyalty points
- Configure customer tiers with earn multipliers and benefits
- Display loyalty information to customers through Shopify storefront and checkout extensions
- Offer point redemption where customers turn points into a discount code on your storefront and apply it at checkout
Zazema also uses AI to help you set up and tune the program. Onboarding drafts your tiers, earning rate, and first campaigns from a short set of answers and shows its reasoning. Once the program is running, the App suggests changes based on your live results, suggests tier structures, and proposes reward amounts as smart defaults. Every draft and every suggestion is a proposal. Nothing goes live until you review and approve it.
Custom campaign rules written in plain English are on the Zazema roadmap and are not part of the App today. The App labels them as such.
3. Eligibility
To use the App you must have an active Shopify store. You must be at least 18 years of age and have the authority to bind your business to these Terms. The App is available to merchants worldwide, subject to Shopify's own terms and any applicable local regulations.
4. Pricing and Billing
4.1 Beta Period
Zazema is in active beta. During the beta the App is free for every merchant, with no order volume limits and no credit card required. Every feature is included. Zazema does not gate features behind a plan, and the AI drafting and suggestion features described in section 2 are included at no cost. We will give at least 30 days' notice before the beta ends and paid plans take effect.
4.2 After the Beta
After the beta, Zazema intends to charge based on volume rather than features. Every feature stays included at every level. Final pricing will be published before the beta ends. You may uninstall the App at any time if you do not want to continue on a paid plan.
4.3 Billing
When paid plans take effect, billing runs through the Shopify Billing API and charges appear on your Shopify invoice. No charges are made during the beta period.
5. Your Responsibilities
- Compliance: You are responsible for making sure your loyalty program complies with the laws and regulations that apply to you, including consumer protection, advertising, and data privacy laws.
- Customer communications: You are responsible for telling your customers how your program works, including how points are earned and redeemed. Points issued through Zazema do not expire. A reward code generated at redemption is valid for 24 hours, after which the points return to the customer balance.
- Accurate configuration: You are responsible for the campaigns, reward amounts, budgets, and redemption settings you approve. Zazema is not liable for rewards issued under a configuration you approved.
- Account security: You are responsible for the security of your Shopify account. Do not share your Shopify credentials with unauthorized parties.
- Prohibited use: You may not use the App for fraudulent, deceptive, or illegal purposes. You may not attempt to manipulate loyalty balances, bypass security controls, or reverse engineer the App.
6. Intellectual Property
The App, including its code, design, documentation, and branding, is owned by Zazema Inc. and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for your Shopify store for as long as your account is active.
You keep ownership of your store data, your customer data, and your campaign configurations. We do not claim ownership of anything you provide through the App.
7. Points
7.1 Nature of Points
Loyalty points issued through Zazema are promotional credits that you, the merchant, issue to your customers. They are not currency, securities, or financial instruments. Points have no cash value except as defined by the redemption settings you configure.
7.2 Points Do Not Expire
Points issued through Zazema do not expire and are not reduced for inactivity. The only thing that expires is a reward code, which is valid for 24 hours from the moment it is generated. If a code goes unused, the points it held return to the customer balance.
7.3 Ledger Records
Every point issuance and redemption is written to an append-only internal ledger that Zazema maintains for audit purposes. Where Zazema also records token transactions on the XRP Ledger, those records contain transaction hashes and amounts only, never personal information, and they cannot be edited or removed afterwards. Zazema does not currently offer a customer-facing tool for verifying balances on a public blockchain.
7.4 Point Liability
You are solely responsible for the liability attached to outstanding unredeemed points. Zazema gives you tools to track and manage that liability but does not assume financial responsibility for points issued through your program.
8. How Rewards Are Calculated
The Zazema reward pipeline is deterministic. Payouts are computed by the fixed rules you configured and approved, not by an AI model. For a given order and a given program configuration, the same rules produce the same result every time. AI drafts and suggests, you approve, and fixed rules pay.
AI is used before the pay path, not inside it. It drafts a starting program during onboarding, proposes tier structures and reward amounts, and recommends changes based on how your program is performing. Those outputs are proposals shown to you for review. A proposal has no effect on customer balances until you approve it and it becomes part of your configuration.
Because you own the configuration, you should review campaign rules before launching them, set reward caps and velocity limits, and use the program budget to bound total point issuance. Zazema is not liable for rewards issued under rules you approved.
9. Service Availability
We aim for reliable service but do not guarantee uninterrupted availability. The App depends on third-party services, including Shopify and Amazon Web Services, that can have outages. We will make reasonable efforts to give notice of planned maintenance. During an outage, reward processing may be deferred and completed once service is restored.
10. Disclaimer of Warranties
To the maximum extent permitted by law, the App is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the App will be uninterrupted, error free, or free of harmful components, or that it will meet your specific requirements. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
11. Limitation of Liability
To the maximum extent permitted by law, Zazema is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost goodwill, or lost data, even if we were advised that such damages were possible.
To the maximum extent permitted by law, Zazema's total aggregate liability for all claims arising out of or relating to the App will not exceed the greater of the fees you paid to Zazema in the twelve months before the event giving rise to the claim, or one hundred US dollars (USD 100).
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence. Some jurisdictions do not allow these limits, so parts of this section may not apply to you.
12. Termination
Either party may end this agreement at any time:
- By you: Uninstall the App from your Shopify store. Shopify sends us a shop redaction request about 48 hours after uninstall, and a daily job then deletes the associated data, so your data is normally removed within about three days of uninstall.
- By us: We may suspend or end your access if you breach these Terms, engage in fraudulent activity, or fail to pay applicable fees after notice.
On termination, your program stops processing new rewards. Customer balances remain visible through Shopify metafields until the data is deleted. If you plan to reinstall, export your data before you uninstall.
13. Indemnification
You agree to indemnify and hold harmless Zazema from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, your loyalty program, your breach of these Terms, or your breach of any applicable law or regulation.
14. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Los Angeles County, California.
15. Changes to These Terms
We may update these Terms. Material changes will be communicated through the Shopify app or by email with at least 30 days' notice. Continuing to use the App after changes take effect means you accept the updated Terms.
